Terms of Service

These terms describe how the GenStruc service is provided by Cyrus Construction and Consulting Services LLC. Please read them carefully before using the platform.

1. Acceptance of terms

These Terms of Service (the “Terms”) form a binding agreement between Cyrus Construction and Consulting Services LLC (“GenStruc”, “we”, “us”) and the individual or organization that creates an account or uses the GenStruc platform (“Customer”, “you”). By creating an account, subscribing, or using the service, you accept these Terms. If you are accepting on behalf of a company, you represent that you are authorized to bind that company.

If you do not accept these Terms, do not use the service.

2. Account responsibilities

You are responsible for the accuracy of the registration information you provide, for keeping your credentials confidential, and for all activity that occurs under your account. You must notify us promptly of any suspected unauthorized access. You are responsible for the conduct of every user, collaborator, or subcontractor you invite into your workspace and for the access level you grant them.

3. Subscriptions and billing

GenStruc is sold as a recurring subscription on the plans published on our pricing page. Subscriptions renew automatically for the same billing period until cancelled. Fees are charged in advance through our payment processor, Stripe, in the currency displayed at checkout. Applicable taxes may be added.

Plan entitlements, usage limits, and included features are those in effect for your plan at the time of use and may be adjusted for future billing periods with notice. Failed or overdue payments may result in downgrade, restriction to read-only access, or suspension.

4. Cancellation and refunds

You may cancel your subscription at any time from your billing settings. Cancellation takes effect at the end of the current paid billing period, and you retain access until that date. Subscription fees are non-refundable once charged, except where required by applicable law.

5. Authorized use

You agree not to:

  • use the service in violation of any applicable law or regulation;
  • upload malicious code or attempt to breach, probe, or disrupt the service or its security controls;
  • access data belonging to other customers, or attempt to circumvent authentication, permissions, or plan entitlements;
  • resell, sublicense, or provide the service to third parties except collaborators working on your projects;
  • scrape, reverse engineer, or use the service to build a competing product;
  • upload content you do not have the right to upload.

6. Customer-uploaded project data

You retain all ownership of the data you upload, including projects, schedules, drawings, documents, photos, RFIs, submittals, daily reports, directory contacts, and related records (“Customer Data”). You grant GenStruc a limited license to host, process, transmit, index, and display Customer Data solely to operate and support the service for you, including generating the analyses and AI outputs you request.

You are responsible for ensuring you have the rights and consents necessary to upload Customer Data, including personal information about your employees, subcontractors, and project participants.

7. Construction documents

Drawings, specifications, schedules, contracts, and other construction documents you upload remain governed by your own project agreements, licenses, and confidentiality obligations. GenStruc does not review, approve, seal, or certify any construction document, and any extracted data, classification, or linkage produced by the platform is an aid only.

8. AI-generated information

The service uses artificial intelligence to summarize documents, classify uploads, correlate project records, forecast risk, and draft narrative content. AI outputs are probabilistic and may be incomplete, out of date, or incorrect. AI outputs do not represent an engineering, architectural, legal, financial, or safety determination.

9. No substitution for professional judgment

GenStruc is a project management and information tool. It is not a substitute for the professional judgment of qualified construction professionals. Scheduling recommendations, recovery scenarios, budget forecasts, weather risk scores, safety insights, and predictive analytics are decision support only.

10. No substitution for architect, engineer, or code official decisions

Nothing produced by the service constitutes design, an engineering opinion, a code interpretation, a permit determination, or an inspection result. Decisions reserved to a licensed architect, licensed engineer, building official, or authority having jurisdiction must be made by those parties. Do not rely on the platform for life-safety, structural, or code-compliance decisions.

11. Customer responsibility for verifying AI outputs

You are solely responsible for reviewing and verifying AI outputs before acting on them, distributing them, or incorporating them into contract documents, notices, claims, or field direction. You accept the risk of any action taken based on unverified AI output.

12. Intellectual property

GenStruc and its licensors own the platform, including all software, models, interfaces, designs, documentation, and trademarks. These Terms grant you a limited, non-exclusive, non-transferable right to use the service during your subscription. We may use aggregated, de-identified statistics that do not identify you or your projects to operate and improve the service.

13. Confidentiality

Each party will protect the other's non-public information with at least reasonable care and use it only to perform under these Terms. GenStruc treats Customer Data as your confidential information and discloses it only to personnel and subprocessors who need it to deliver the service, or where required by law.

14. Service availability

We aim to keep the service available continuously but do not warrant uninterrupted or error-free operation. The service may be unavailable due to maintenance, third-party provider incidents, or events beyond our control. Unless a separate written service level agreement is in place, the service is provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

15. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, delay damages, acceleration costs, liquidated damages, or loss of data, even if advised of the possibility. GenStruc's total aggregate liability arising out of or related to the service will not exceed the fees you paid to GenStruc in the twelve (12) months preceding the event giving rise to the claim.

16. Indemnification

You will defend, indemnify, and hold harmless GenStruc against third-party claims arising from your Customer Data, your use of the service in violation of these Terms or applicable law, or decisions made on your projects, except to the extent caused by GenStruc's own violation of these Terms.

17. Termination

You may terminate by cancelling your subscription and closing your account. We may suspend or terminate access for non-payment, material breach of these Terms, or activity that threatens the security or integrity of the service. Following termination you may request an export of your Customer Data for a limited period, after which it may be deleted in accordance with our Privacy Policy and retention practices.

18. Governing law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Venue for disputes lies in Orange County, Florida.

19. Changes to these terms

We may update these Terms. When we do, we will revise the “Last updated” date and, for material changes, provide notice through the application or by email. Continued use after the effective date constitutes acceptance of the updated Terms.
